Terms and Conditions

1. Parties and Contractual Framework

These Terms and Conditions ("Terms" or "Agreement") constitute a legally binding agreement between Circle4Pro ("Circle4Pro", "Company", "we", "us", or "our") and the individual or corporate entity accessing our Platform or entering into a consultation, subscription, or service arrangement with us ("User", "Customer", "you", or "your").

By accessing http://circle4pro.com, downloading the Circle4Pro mobile application (available on iOS and Android), submitting a consultation request, or executing a service agreement with us, you acknowledge that you have read, understood, and agreed to be bound by these Terms, in accordance with:

1. Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services;
2. Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL);
3. Federal Law No. 15 of 2020 on Consumer Protection;
4. Federal Decree-Law No. 14 of 2023 on Trading through Modern Technology (Digital Commerce Law);
5. Federal Decree-Law No. 26 of 2025 on Child Digital Safety.

2. Scope of Services

Circle4Pro provides a mobile and web-based knowledge marketplace and expert consultation platform within the United Arab Emirates and globally, including:

1. Q&A Consultations: Paid asynchronous text/audio questions to verified experts (with up to 3 image attachments) with a 168-hour completion window or automatic refund;
2. 1-to-1 Video Calls: Scheduled live video consultation sessions with experts, which may be booked, rescheduled, or attended through the Platform;
3. Circles & Communities: Free or paid recurring monthly subscription communities created by experts;
4. Event Ticketing: Where applicable, links may be provided to third-party websites for digital and physical event ticket purchasing. Circle4Pro does not sell or issue event tickets directly. Purchases are subject to the third party's terms and policies;
5. Training Programs: Expert-led training program subscriptions;
6. Messaging & Feeds: Real-time direct text/voice messaging, file sharing, and social feed interactions (like/comment/save);
7. Expert Discovery: Search, filter, and discover verified experts by category, pricing, ratings, and live online availability.

Service listings, expert profiles, rates, features, and availability displayed on the Circle4Pro Platform are indicative and subject to final verification and written confirmation via an official Service Agreement, Consultation Confirmation, or Order Confirmation issued by Circle4Pro.

3. Eligibility & Mandatory Documentation

To register, access, or utilize services on the Circle4Pro Platform, you must satisfy all statutory UAE and applicable international requirements:

3.1 Age Qualification

Be at least 13 years of age to register for an account. By creating an account, you represent and warrant that you are at least 13 years old. Users under the age of 18 may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. We do not knowingly collect personal data from individuals under 13.

3.2 Account Registration

Provide accurate, complete, and current information including:

1. Full name;
2. Email address;
3. Password (hashed and encrypted);
4. Profile picture/avatar;
5. Preferred language and timezone;
6. Bio/headline and location details.

3.3 Expert Verification (For Experts)

Expert users must submit the following for verification:

1. Government-issued photo ID document (valid Emirates ID, passport, or national ID);
2. Visual verification selfie photo;
3. Professional certifications and work experience;
4. Company name, website URL;
5. Social media profile links.

Submitting fraudulent, expired, or altered documents constitutes grounds for immediate account cancellation, forfeiture of any pending payouts, and referral to UAE law enforcement authorities.

3.4 Corporate Requirements

Business entities or corporate users must provide a valid UAE Trade License, Memorandum of Association, and authorized signatory identification.

4. Pricing, Payments, and VAT

4.1 Currency & Taxes

All prices, fees, and charges are quoted in United Arab Emirates Dirhams (AED) unless otherwise specified, and are subject to the standard 5% Value Added Tax (VAT) in accordance with UAE Federal Decree-Law No. 8/2017 on Value Added Tax.

4.2 Payment Schedule

You agree to pay all consultation fees, subscription fees, training program fees, and supplementary charges strictly on or before the due dates set forth in your Service Agreement or at the time of purchase.

4.3 Payment Authorization

All payments on the Platform are processed securely through Stripe and Stripe Connect Express. By using the Platform's payment features, you explicitly authorize Circle4Pro and Stripe to charge your registered payment card, debit card, or bank account for:

1. Consultation fees;
2. Circle subscription fees;
3. Training program fees;
4. Outstanding balances;
5. Any applicable taxes or administrative fees.

4.4 Transparent Pricing

All terms, conditions, prices, and digital payment charges must be disclosed clearly before any transaction takes place. No undisclosed fees shall be charged.

5. Service Delivery, Inspections, and Completion

5.1 Q&A Consultation Window

When you submit a paid asynchronous Q&A question to an Expert, the Expert has a one hundred sixty-eight (168) hour window to respond. If the Expert fails to respond within this window, you are entitled to an automatic refund.

5.2 Video Call Consultations

Video call consultations must be booked through the Platform's scheduling system. Upon booking, both parties shall receive a confirmation. You may reschedule or cancel bookings in accordance with Circle4Pro's standard cancellation policy, which may be amended from time to time and is displayed on the Platform at the time of booking.

5.3 Completion and Satisfaction

Service delivery is considered complete upon:

1. Expert response to Q&A consultation within the 168-hour window;
2. Completion of the scheduled video call session;
3. Delivery of training program materials or access.

5.4 Unapproved Cancellations

Cancelling or failing to attend a scheduled consultation without prior written extension or rescheduling authorization may result in forfeiture of fees paid, subject to Circle4Pro's cancellation policy.

6. Platform Usage & Operational Restrictions

The User agrees that the Circle4Pro Platform shall NOT be used:

1. By any individual other than the registered account holder or officially designated authorized users;
2. By any person under the influence of alcohol, drugs, or intoxicating substances;
3. For unlawful, fraudulent, or deceptive purposes;
4. For subleasing, reselling, or commercial redistribution of Platform content;
5. For harassment, bullying, discrimination, or abusive conduct toward Experts or other users;
6. To post, share, or promote lewd, sexual, pornographic, or otherwise inappropriate content (No "18+" content is permitted);
7. For unauthorized data scraping, crawling, or extraction of Platform content;
8. For impersonation of any person or entity;
9. To transmit viruses, malware, or malicious code.

Breach of operational restrictions immediately voids access rights and entitlements and entitles Circle4Pro to suspend or terminate the User's account at the User's sole expense.

6.1 Prohibited Content and Conduct

Any Expert or user who offers or promotes or references lewd, sexual, or sexually gratifying or otherwise pornographic content or services, including nudity, whether or not such includes an expressed or implied financial transaction, shall be immediately suspended and/or permanently removed from the Platform. Circle4Pro shall act unilaterally and without notice and shall be the sole and final arbiter of any action or decision to suspend, remove, or permanently revoke an account. Further, if required or if appropriate, Circle4Pro will report such actions/materials and all account information for all participants to the appropriate law enforcement authorities in the United Arab Emirates and fully cooperate with any subsequent investigation(s) by such authorities.

6.2 Child Digital Safety

Circle4Pro is committed to protecting the safety of minors on our Platform. Users must be at least 13 years of age to register. We rely on self-declaration of age during account creation. If we become aware that a user is under 13, we will terminate their account immediately. Parents and guardians are encouraged to monitor their children's use of the Platform.

7. Expert Obligations & Verification

7.1 Verification Requirements

Expert users must submit for verification:

1. Government-issued photo ID document;
2. Visual verification selfie photo;
3. Professional certifications and work experience;
4. Company name, website URL, and social media profile links.

Circle4Pro reserves the right to conduct additional verification checks as deemed necessary and to verify, reject, or revoke Expert status at its sole discretion.

7.2 Expert Obligations

Experts agree to:

1. Provide accurate and complete information in their profiles;
2. Respond to Q&A consultations within a one hundred sixty-eight (168) hour window;
3. Honor booked video call appointments;
4. Provide services in a professional and competent manner;
5. Maintain the confidentiality of client information;
6. Comply with all applicable laws and regulations;
7. NOT use AI engines or AI software in any form to craft responses or answers or Content that is subsequently provided to Circle4Pro users who are voluntarily paying for Experts or Experts' specific responses or time (this prohibition applies to content created by Experts for delivery to users on the Platform; it does not apply to Circle4Pro's own platform operations).

In reviewing ANY AI utilization, Circle4Pro shall act unilaterally and without notice and shall be the sole and final arbiter of any action or decision to suspend, remove, or permanently revoke an account.

7.3 Termination of Expert Status

Circle4Pro reserves the right to suspend or terminate Expert status for violations of these Terms, failure to maintain verification standards, or any other reason deemed appropriate.

8. Intellectual Property Rights

8.1 Platform Intellectual Property

All visual elements, content, trademarks, logos, texts, photographs, software, code, and materials on the Circle4Pro Platform are the exclusive property of Circle4Pro or its content suppliers and are protected under UAE and international copyright laws. Unauthorized copying, scraping, redistribution, or commercial use is strictly prohibited.

8.2 User Content License

By submitting content for inclusion on the Platform, You grant Circle4Pro a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, and publish such content solely for the purpose of operating, displaying, distributing, and promoting the Platform and its services. This license continues even after you stop using the Platform, to the extent necessary to maintain the Platform's functionality.

If You remove or delete content, Circle4Pro will use reasonable efforts to delete it from the Platform; however, You acknowledge that cached versions or references to the content may remain available for a period of time.

8.3 Screen Recording Prohibition

You hereby agree NOT to take screenshots, create screen recordings, or otherwise replicate or reproduce any content from the Platform for any use whatsoever including, but not limited to, public distribution on any mobile or online platform (social media, websites, etc.) or Your own private personal use. This prohibition includes the creation of any derivative content (including, but not limited to, illustrations, animations, AI images, GIFs, Memes, etc. based on Circle4Pro content).

8.4 Violation Consequences

Violation of intellectual property provisions may result in suspension or termination of Your Circle4Pro Account and/or, in the case of inflammatory, slanderous, false, or otherwise malicious content, may subject You to civil lawsuits or legal remedies or criminal proceedings brought by law enforcement agencies, Circle4Pro, or Experts as may be applicable to Your actions.

9. Refunds and Cancellations

9.1 Q&A Consultation Refunds

If an Expert fails to respond to a Q&A consultation within the one hundred sixty-eight (168) hour window, you are entitled to an automatic refund.

9.2 Video Call Cancellations

Video call cancellations are subject to Circle4Pro's standard cancellation policy, which may be amended from time to time and is displayed on the Platform at the time of booking.

9.3 Subscription Cancellations

You may cancel your subscription to Circles or Training Programs through your Account settings before the next billing cycle to avoid further charges. No refunds are provided for partial subscription periods.

9.4 Event Ticket Refunds

Circle4Pro does not sell or issue event tickets directly. Where links to third-party ticket providers are provided, purchases are subject to the third party's terms and policies. Circle4Pro is not responsible for ticket purchases, payments, cancellations, refunds, or the event itself.

9.5 Refund Processing

All approved refunds will be processed through the original payment method within fourteen (14) to thirty (30) business days following approval.

9.6 Consumer Rights

These refund provisions do not limit your statutory consumer rights under UAE law. Provisions that attempt to restrict lawful refunds may be unenforceable.

10. Data Protection and Privacy

10.1 PDPL Compliance

Circle4Pro complies with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). We collect, process, and store personal data in accordance with the PDPL.

10.2 Data Collection

We collect the following categories of personal data:

1. Account Information: Full name, email address, password, profile picture/avatar, preferred language, timezone, bio/headline, and location details;
2. Identity Verification Data (for Experts): Government-issued photo ID, selfie photo, professional certifications, work experience, company name, website URL, and social media links;
3. Financial Information: Credit/debit card details (processed by Stripe), billing address, transaction history, and bank account information for experts (processed by Stripe Connect);
4. User-Generated Content: Question descriptions, image attachments, voice recordings, chat messages, uploaded media, and reviews;
5. Device Information: Device type, operating system, IP address, and usage data.

10.3 Data Processing Purposes

We process personal data for the following legitimate purposes:

1. Providing and improving the Platform and Services;
2. Processing payments and payouts;
3. Verifying Expert identities;
4. Sending notifications and communications;
5. Complying with legal obligations.

10.4 Consent

By using the Platform, you provide your explicit, informed, and unambiguous consent to the collection, processing, and storage of your personal data as described in these Terms.

10.5 User Rights

Under the PDPL, you have the right to:

1. Access your personal data;
2. Request correction of inaccurate data;
3. Request deletion of your data;
4. Withdraw your consent at any time;
5. Object to processing of your data for direct marketing purposes.

10.6 Data Security

We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, loss, or destruction, including encryption of data in transit and at rest.

10.7 Breach Notification

In the event of a data breach that may compromise user privacy or rights, we will notify the UAE Data Office within seventy-two (72) hours of becoming aware of the breach, in accordance with Article 9 of the PDPL.

10.8 Data Retention

We retain personal data only for as long as necessary to fulfill the purposes for which it was collected or as required by law. When the retention period expires, data is automatically deleted.

11. Third-Party Services and Integrations

Circle4Pro integrates with the following third-party services:

Your use of these third-party services is subject to their respective terms and conditions and privacy policies. Circle4Pro is not responsible for the practices of third-party services.

12. Device Permissions

By using the Platform, you acknowledge that the application accesses the following device features:

12.1 Camera and Photo Library

To enable uploading of profile avatars, identity verification documents, selfie photos, Q&A image attachments, and chat files/media.

12.2 Microphone and Audio

To enable audio capture for 1-to-1 WebRTC video/audio calls and to record/play voice messages.

12.3 Push Notifications

To deliver call signaling overlays, chat alerts, booking status changes, and reminder notifications via FCM and APNs.

12.4 Network/Internet Access

Required for real-time WebSocket communication and secure HTTPS REST API communication.

You may revoke these permissions through your device settings at any time, but doing so may affect your ability to use certain Platform features.

13. Termination and Account Suspension

13.1 Termination by User

You may terminate your Account at any time through your Account settings or by contacting us at info@circle4pro.com.

13.2 Termination for Default

Circle4Pro reserves the right to suspend or terminate your Account and access to the Platform immediately, without prior notice, if you:

1. Materially breach these Terms;
2. Default on payment obligations;
3. Provide false, fraudulent, or altered documentation;
4. Violate usage restrictions;
5. Engage in unlawful or prohibited conduct;
6. Become insolvent or subject to bankruptcy proceedings.

13.3 Effect of Termination

Upon termination:

1. Your license to use the Platform terminates immediately;
2. You must cease all use of the Platform;
3. Certain provisions of these Terms (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive termination;
4. We may retain your data as required by law or for legitimate business purposes.

13.4 Refund Upon Termination

Notwithstanding the foregoing, if you have a paid services account, such account can only be terminated by Circle4Pro if you materially breach this Agreement and fail to cure such breach within thirty (30) days from Circle4Pro's notice to you thereof; provided that, Circle4Pro can terminate the Platform immediately as part of a general shut down of our service. No refunds shall be provided for termination due to breach of these Terms.

14. Educational and Informational Use Only

Any and all commentary, opinions, interactions, dialogue, and/or responses ("Commentary") provided by verified experts, entrepreneurs, businesspersons, personalities, or other individuals ("Experts") accessible through this Platform are intended solely for educational and informational purposes. Nothing offered to You via the Platform or through its Experts constitutes, or should be construed as, professional advice of any kind. Such content is not a substitute for consultation with qualified, licensed professionals who are familiar with Your particular circumstances.

While Circle4Pro strives to ensure that the Experts and the information provided are accurate and valuable, Circle4Pro makes no representations or warranties as to the completeness, reliability, or suitability of any information provided. You acknowledge and agree that You will reach Your own conclusions independently and of Your own free will, without coercion, and that You assume all risks and full responsibility for any actions taken, decisions made, or failures to act based on any Commentary or information provided through the Platform.

Although certain Experts may offer insights related to legal, medical, financial, psychological, or other professional topics—and may themselves be licensed professionals—their communications through this Platform do not create a professional-client relationship and shall not be understood or construed as personalized professional advice. Circle4Pro expressly recommends that You seek the guidance of qualified professionals regarding any specific concerns, conditions, or decisions.

Circle4Pro and its affiliated and related entities, successors and assigns and each of their respective owners, principals, officers, directors, employees, members, agents, representatives, licensees, service providers and contractors, and Experts, are not liable for any such conclusions or reliance upon Commentary that may result in losses, lost revenues or profits, liabilities, deficiencies, claims, actions, suits, legal proceedings, judgments, settlements, interest, awards, penalties, fines, costs, expenses, including attorneys' fees, and any actual, speculative, consequential, incidental, direct, indirect, exemplary, special or punitive damages of any kind.

15. Training Programs

15.1 Access Duration

Access to training programs is provided for the agreed training period as specified at the time of purchase. Upon expiration of the access period, you may be required to renew your subscription to continue accessing the training materials.

15.2 Certificates

Certificates of completion may be issued upon completion of the required training modules and any applicable assessments. Certificate issuance is subject to verification of completion.

15.3 No Guarantee of Results

Circle4Pro makes no representations or warranties regarding the outcomes, results, or benefits you may achieve from participating in any training program. Individual results may vary based on effort, engagement, and other factors beyond our control.

16. Expert Payouts

16.1 Payout Schedule

Expert payouts are processed on a weekly or monthly basis, as determined by Circle4Pro and communicated to Experts through the Platform.

16.2 Minimum Payout Threshold

Expert payouts are subject to a minimum payout threshold of USD 100 (or equivalent in AED). If the amount payable to an Expert is less than USD 100, the balance will be carried forward and paid in the second month, subject to the applicable payout terms and conditions.

16.3 Payment Processing

All payouts are processed securely through Stripe Connect Express. Experts are responsible for ensuring their payout account information is accurate and up to date.

17. Disclaimer of Warranties

The Platform and Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Circle4Pro and its suppliers and licensors hereby disclaim all warranties of any kind, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement.

Neither Circle4Pro nor its suppliers and licensors make any warranty that:

1. The Platform will be error-free or uninterrupted;
2. The Platform will be secure;
3. The information provided will be accurate or reliable;
4. The quality of any products, services, information, or other material purchased or obtained through the Platform will meet your expectations.

You understand that you download from, or otherwise obtain content or services through, the Platform at your own discretion and risk.

18. Limitation of Liability

To the maximum extent permitted by UAE law, in no event will Circle4Pro or its suppliers or licensors be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability, or other legal or equitable theory for:

1. Any special, incidental, or consequential damages;
2. The cost of procurement for substitute products or services;
3. Interruption of use or loss or corruption of data;
4. For any amounts that exceed the fees paid by You to Circle4Pro under this agreement during the twelve (12) month period prior to the cause of action;
5. Loss of personal possessions, data, or content.

Circle4Pro shall have no liability for any failure or delay due to matters beyond their reasonable control, including but not limited to acts of God, war, terrorism, government restrictions, or network failures.

The foregoing shall not apply to the extent prohibited by applicable law, including but not limited to:

1. Death or personal injury caused by our negligence;
2. Fraud or fraudulent misrepresentation;
3. Any liability that cannot be excluded or limited under UAE law.

19. Indemnification

You agree to indemnify and hold harmless Circle4Pro, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of:

1. Your use of the Platform;
2. Your violation of this Agreement;
3. Your violation of any applicable law or regulation;
4. Your User Content;
5. Your interactions with other Users;
6. Your operation or misuse of the Platform.

Circle4Pro reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any matter without the written consent of Circle4Pro.

20. Communications and Notifications

20.1 Electronic Communications

By using the Platform, you consent to receive electronic communications from Circle4Pro, including:

1. Transactional notifications;
2. Account verification emails;
3. Booking confirmations and reminders;
4. Promotional communications (subject to your consent where required).

20.2 Push Notifications

You may receive push notifications through FCM and APNs for call signaling overlays, chat alerts, booking status changes, and reminder notifications. You may opt out of push notifications through your device settings.

20.3 Marketing Communications

Direct marketing via electronic communications (email, SMS, in-app messaging) requires your prior, explicit, and informed consent. You may withdraw your consent at any time without detriment.

20.4 Your Name, Image, and Likeness

You agree that Your name, image, likeness, and description as shown in Your Circle4Pro account profile, as edited or approved by You, may appear in social media posts and/or digital advertisements, including videos and/or printed materials, created and distributed by Circle4Pro, to raise awareness of the Platform and/or promote product benefits and/or announce or otherwise present the presence and/or availability of individual Experts/users/contributors on the Platform.

21. Force Majeure

Circle4Pro shall not be liable for any failure to perform its obligations under this Agreement if such failure is caused by circumstances beyond its reasonable control, including but not limited to:

1. Acts of God;
2. War, terrorism, or civil unrest;
3. Government actions or restrictions;
4. Network or infrastructure failures;
5. Epidemics or pandemics;
6. Natural disasters (including earthquakes, floods, hurricanes, and fires);
7. Strikes or labor disputes;
8. Cyberattacks, hacking, or other security breaches.

In such event, the affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to resume performance as soon as possible.

22. Severability

If any part of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.

23. Waiver

A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.

24. Assignment and Assigns

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Circle4Pro may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors, and permitted assigns.

25. Entire Agreement

This Agreement constitutes the entire agreement between Circle4Pro and You concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Circle4Pro or by the posting by Circle4Pro of a revised version.

26. Modifications to Terms

Circle4Pro reserves the right, at its sole discretion, to modify or replace any part of this Agreement. The updated version will be posted on this page with a revised "Effective Date". It is Your responsibility to check this Agreement periodically for changes.

Your continued use of or access to the Platform following the posting of any changes to this Agreement constitutes acceptance of those changes. Circle4Pro may also, in the future, offer new services and/or features through the Platform (including the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

Provisions that grant the supplier unilateral rights to amend or terminate contracts may be considered detrimental to consumers' interests and may be null and void under UAE law.

27. Governing Law and Dispute Resolution

27.1 Governing Law

This Agreement shall be governed by, construed, and enforced in accordance with the federal laws of the United Arab Emirates and the local laws of the Emirate of Dubai, without regard to its conflict of law principles.

27.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the Dubai International Arbitration Centre ("DIAC") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties. If the parties are unable to agree upon an arbitrator, the DIAC shall appoint the arbitrator.

All arbitration proceedings shall be conducted remotely via video conference or similar technology. The decision of the arbitrator shall be final and binding on the parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

27.3 Costs and Attorneys' Fees

In the event of an arbitration proceeding arising out of or related to this agreement, each party shall be responsible for its own attorney fees and costs, unless the arbitrator determines that the claim was frivolous or brought in bad faith.

27.4 Consumer Protection

These Terms cannot override your statutory consumer rights under UAE law. Any provision that attempts to exclude warranties, restrict lawful refunds, or limit statutory remedies may be unenforceable.
